Please read these Terms of Use (“Terms”) carefully before using Hospice Growth Lab [Platform Name] platform located at hospicegrowthlab.com (the “Platform”) operated by Roman Peshoff dba Transcend Strategy Group [Company Name] (“we,” “us,” or “our”). Your access to and use of the Platform is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, registered members and others who access or use the Platform.
By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Platform.
1. Description of the Platform
Hospice Growth Lab[Platform Name] is an online learning and resource platform designed for hospice sales liaisons and the organizations that support them. The Platform includes The Lab, an Orientation Course, a Resources Hub and related materials. Access to certain content areas is gated by membership tier as described in Section 3. We may also make available organizational reporting and related administrative features for organizational clients in the future.
2. Accounts and Registration
To access paid content, you must create an account and purchase a membership. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current and complete information during registration and to update that information as necessary.[SJ1] We may suspend, restrict or terminate your account or access to the Platform at any time, with or without notice, if we believe you have violated these Terms, misused the Platform, infringed any intellectual property rights, created risk for us or other users, or as otherwise necessary to protect the Platform or comply with law.
You may not share your account credentials or allow others to access the Platform using your account. Each membership is issued to a single individual user. Organizational Annual memberships are provisioned separately and governed by the applicable organizational agreement with Roman Peshoff dba Transcend Strategy Group.
3. Membership and Access
The Platform offers the following membership tiers:
- Free Preview: Limited access to sample content (one topic per bucket and Orientation Module 1). No payment required.
- Individual Annual: Full access to all Platform content, including The Lab (57 topics across 8 buckets), the full Orientation Course (8 modules), and the Resources Hub. Priced at $1,000 per year, billed as a one-time annual payment (not a recurring subscription and not automatically renewing). Access is granted for 12 months from the date of purchase. Before your access period ends, we may send reminder notices about renewal. Upon expiry, accounts are automatically downgraded to Free Preview unless you purchase a new membership term.
- Organizational Annual: Full access equivalent to Individual Annual, provisioned manually by Roman Peshoff dba Transcend Strategy Group for agency[Company Name] for Roman Peshoff dba Transcend Strategy Group for organizational clients. Certain administrative features, including reporting regarding organizational participation and usage, may be made available to organizational clients. Terms governed by separate agreement.
Membership fees are non-refundable except as required by applicable law. We reserve the right to modify pricing, tier features, access terms and available content with reasonable advance notice.
4. Intellectual Property
The Platform and all of its original content – including course materials, video scripts, slide decks, wiki articles, job aids, frameworks, and all other learning resources – are and will remain the exclusive property of Roman Peshoff dba Transcend Strategy Group and its licensors. The Platform is protected by copyright, trademark and other applicable laws of the United States and foreign countries.
Your membership grants you a limited, non-exclusive, non-transferable, revocable license to access and use Platform content for your own professional development. You may not reproduce, distribute, republish, sell, resell, sublicense, publicly display or create derivative works from any Platform content without the prior written consent of Roman Peshoff dba Transcend Strategy Group. Without limiting the foregoing, you may not use the Platform or any Platform content to train, fine-tune, prompt, ground or otherwise develop any artificial intelligence or machine learning model, system or dataset without our prior written consent.
Our trademarks and trade dress – including Hospice Growth Lab and Roman Peshoff dba Transcend Strategy Group names and logos – may not be used in connection with any product or service without our prior written consent. If you believe any content on the Platform infringes your copyright, you may submit a notice to us identifying the copyrighted work claimed to have been infringed, the allegedly infringing material and its location on the Platform, your contact information, and a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent or the law. Your notice must also include a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. We may remove or disable access to material claimed to be infringing and may terminate repeat infringers’ accounts in appropriate circumstances.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. The Platform is intended for use by individuals located in the United States only. The Platform does not currently include forums, public posting features or other user submission functionality, and you may not submit or upload content to the Platform except where we expressly make such functionality available. You agree not to:
- Share, resell or redistribute any Platform content to individuals who have not purchased a membership
- Use any automated means to access, scrape or download Platform content
- Attempt to bypass or circumvent any content protection or access control measures
- Upload or transmit any content that is unlawful, harmful or otherwise objectionable, including through any feature we may make available in the future
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the Platform or any Platform content for competitive analysis, benchmarking, replication, or the development, training or improvement of any product, service or artificial intelligence system without our prior written consent
6. Links to Third-Party Websites
The Platform may contain links to third-party websites or services not owned or controlled by Roman Peshoff dba Transcend Strategy Group. We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party websites. We strongly advise you to review the terms and privacy policies of any third-party websites you visit.
7. Disclaimer of Warranties
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Roman Peshoff dba Transcend Strategy Group does not warrant that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components. Platform content is intended for educational and professional development purposes only. It does not constitute legal, medical, regulatory or compliance advice. Users are responsible for applying content in accordance with the rules and policies of their employing organizations and applicable law. The Platform is not intended for the submission, storage or processing of patient information, protected health information, medical records or other healthcare data, and you must not provide such information through the Platform.
8. Limitation of Liability
To the fullest extent permitted by law, Roman Peshoff dba Transcend Strategy Group and its directors, employees, partners, agents and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages – including loss of profits, data, goodwill or other intangible losses – arising from your use of or inability to use the Platform, any content obtained through the Platform, or unauthorized access to your account or transmissions. To the fullest extent permitted by law, the aggregate liability of Roman Peshoff dba Transcend Strategy Group and its directors, employees, partners, agents and affiliates for any and all claims arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the amount you paid to us for the applicable membership during the 12 months preceding the event giving rise to the claim or (b) US$100.
9. Indemnification
You agree to defend, indemnify and hold harmless Roman Peshoff dba Transcend Strategy Group and its licensors, employees, contractors, agents, officers and directors from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Platform or any breach of these Terms.
10. Exclusions
Some jurisdictions do not permit the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. The limitations above may not apply to you to the extent prohibited by applicable law.
11. Governing Law
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT, A JURY TRIAL WAIVER, AND A CLASS ACTION WAIVER THAT SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, YOUR RIGHT TO A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. SEE THE OPT-OUT PROCEDURE BELOW.
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any dispute, claim or controversy arising out of or relating to these Terms or the Platform shall be resolved by final and binding arbitration on an individual basis, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation or violation of intellectual property rights, confidentiality obligations or unauthorized access to the Platform.
YOU AND ROMAN PESHOFF DBA TRANSCEND STRATEGY GROUP WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING.
You may opt out of this arbitration agreement and class action waiver by sending us written notice of your decision to opt out within 30 days after you first accept these Terms or first access or use the Platform, whichever occurs first. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration and the class action waiver in these Terms. If you timely opt out, Section 11 shall not apply to you, and any dispute arising out of or relating to these Terms or the Platform shall be resolved in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts for that purpose. If you do not timely opt out, you will be bound by Section 11.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect, except that if the class action waiver in Section 11 is held unenforceable as to any claim for which public injunctive relief or class, collective or representative treatment is sought, then that claim shall proceed in a court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the claims in arbitration. The arbitration shall be conducted in the United States by a mutually acceptable arbitration provider, and if the parties cannot agree on a provider, by the American Arbitration Association, under its applicable consumer or commercial rules, as applicable. These Terms constitute the entire agreement between you and Roman Peshoff dba Transcend Strategy Group regarding the Platform and supersede any prior agreements.
12. Remedies for Unauthorized Use
Unauthorized use of the Platform or any Platform content, including credential sharing, prohibited copying, redistribution, scraping, or use of Platform content to develop competing offerings or artificial intelligence systems, may cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, in addition to any other rights or remedies available at law or in equity, we may suspend or terminate access, invalidate credentials, remove or disable access to content, and seek injunctive relief, specific performance and any other available equitable relief without the requirement to post bond to the fullest extent permitted by law.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to the new terms taking effect, either by posting notice on the Platform or by emailing the address associated with your account. What constitutes a material change is determined at our sole discretion. Your continued use of the Platform after revised Terms take effect constitutes your acceptance of those Terms.
